Archidoodles Terms and Conditions
Archidoodles, LLC (“Archidoodles” or “Company”) is comprised of multiple Websites, apps, products, and services on which these Terms and Conditions are posted and that are Archidoodles branded or operated by Archidoodles (collectively “Websites”). The purpose of Archidoodles is to share commercial design and construction information, education, resources, service providers, products, and projects with others. These Terms and Conditions place restrictions on the Website’s visitors' and users' use of information and content made available through the Archidoodles Website.

By using the Website, you accept and agree to be bound and abide by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not access or use the Website.

Company will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, Company may restrict access to some parts of the Website, or the entire Website, to users, including registered users.

Prohibited Use

As part of Archidoodles’ Terms and Conditions, you agree not to use the information, services or any other part of the Archidoodles Websites to take any actions that:

Restrict or inhibit any other visitor from using the Archidoodles Websites, including, without limitation, by means of "hacking" or defacing any portion of the Archidoodles Websites;

Remove any copyright, trademark, or other proprietary rights notices contained in the Archidoodles Websites;

Sublicense, sell, rent, lease, transfer, assign, or convey any rights under the Terms of Use to any third party, or otherwise commercially exploit or profit from the information or content of the Archidoodles Websites, or any portion thereof, in any manner whatsoever, except as expressly permitted herein;

"Frame" or "mirror" any part of the Archidoodles Websites without Company prior written authorization;

Distribute any virus, worm or other similar or deleterious files, scripts or programming routines;

Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," crawl or scrape the Archidoodles Websites or in any way reproduce or circumvent the navigational structure or presentation of the Archidoodles Websites or its contents, authentication and security measures;

Harvest or collect information about any Archidoodles Websites visitors or members without their express consent;

Use the Website for illegal purposes;

Attempt to interfere with the proper working of the Website.

User Post of Reviews

Archidoodles may enable you as a user to post Reviews. Reviews are considered your content. By posting a review, you acknowledge and agree that:

You are not (a) a director, employee, officer, or principal (“Interested Party”) of the business whose products or services are the subject of the Review, (b) an Interested Party of a competitor of the business or individual whose products or services are the subject of the Review; or (c) related in any way, including by blood, adoption or marriage, to the business or individual whose products or services are the subject of the Review;

Your Review is based upon your first-hand experience with the products, or business or individual whose services, are the subject of the Review;

Your Review is accurate, truthful and complete;

When you create an account on the Company websites, Company will collect information you provide, like your name, email address, interests, gender, age, and profile information. If you are a professional, you may also provide information related to your business, including a business description and areas served. Company will collect information that you provide, including your account and profile information, content you submit or post to the Company websites, your purchase information, your communications, and information you provide as part of surveys and promotions.

Company will respond to all requests we receive from individuals wishing to exercise their data protection rights in accordance with applicable data protection laws. Company may ask you to verify your identity in order to help to respond to your request securely and efficiently. To edit your personal information, you can manage your profile on the Company Websites. You may also contact us about correcting or updating your personal information (including your marketing preferences) using the methods provided in the Contact Us section. The Company will consider your request in accordance with applicable laws.
Account Termination and Data Retention

Unless you provide services or products and promote that business on the Company Website (“Provider”), you can deactivate your account at any time by going to your settings. To deactivate your account as a Provider on Archidoodles, please contact us as described in the Contact Us section of these Terms and Conditions. When you deactivate your account, you will cease to provide ongoing or future data that is associated with your account. Your profile will no longer be accessible on the Websites but in accordance with applicable law and the Archidoodles Terms of Use, your photos, reviews, and other content may still be available through the Company Websites. In order to request permanent deletion of the personal information associated with your account, please contact us.
Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Archidoodles, its licensors, or other providers of such material. You must not infringe on any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person. Users who have uploaded content have represented and warranted that they have the rights to permit Archidoodles to use it on the Archidoodles websites. The infringement on the copyrights or other intellectual property rights of others may result in removal of your content or suspension of use of the site. Any use of the Website not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws.
Use of Cookies

EACH PROVISION BELOW APPLIES TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW:

THE ARCHIDOODLES ENTITIES MAKE NO PROMISES WITH RESPECT TO, AND EXPRESSLY DISCLAIM ALL LIABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOR: (i) CONTENT POSTED BY ANY THIRD-PARTY ON THE ARCHIDOODLES WEBSITES, (ii) PRODUCT AND THEIR DESCRIPTIONS, (iii) THIRD-PARTY SITES AND ANY THIRD-PARTY PRODUCT OR SERVICE LISTED ON OR ACCESSIBLE TO YOU THROUGH THE SITE, AND (iv) THE QUALITY OR CONDUCT OF ANY THIRD-PARTY YOU ENCOUNTER IN CONNECTION WITH YOUR USE OF THE ARCHIDOODLES WEBSITES.

WITHOUT LIMITING THE FOREGOING, YOU AGREE THAT THE ARCHIDOODLES ENTITIES SPECIFICALLY WILL NOT BE LIABLE FOR (i) ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, LOSS OF PROFITS, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR LOSS OF DATA.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF ARCHIDOODLES ENTITIES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE AMOUNT YOU HAVE PAID TO ARCHIDOOLDES FOR THE APPLICABLE CONTENT OR SERVICE OUT OF WHICH LIABILITY AROSE.
Indemnification

You agree to defend, indemnify, and hold harmless Archidoodles, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Website, including, but not limited to, your user contributions, any use of the Website's content, services, and your use of any information obtained from the Website.

Controlling Law and Jurisdiction

This Agreement will be interpreted in accordance with the laws of the State of Texas and the United States of America, without regard to their conflict-of-law provisions. You and Company agree to submit to the personal jurisdiction of a federal or state court located in Houston, Texas for any actions for which the arbitration provision does not apply.

Dispute Resolution
​
If you have a dispute with Archidoodles, you agree to contact us through the contact information provided in the Communications section. You agree to attempt to resolve the issue informally first. If Company is not able to resolve the dispute informally, then this section will govern any legal dispute that arises out of or relates to Archidoodles Websites or involves Company services.

Binding Arbitration
​
You and Archidoodles agree that any dispute, claim or controversy arising out of or relating to this Agreement or to your use of Archidoodles Websites (collectively "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. This means that you and Archidoodles both agree to waive the right to a trial by jury.

Class Action Waiver
​
You and Archidoodles agree that any proceedings to resolve Disputes will be conducted on an individual basis and not in a class, consolidated, or representative action. This means that, in connection with any Dispute, you and Archidoodles both agree to waive the right to participate as a plaintiff as a class member in any class action proceeding. Further, unless you and Archidoodles agree otherwise in writing, the arbitrator in any Dispute may not consolidate more than one person's claims and may not preside over any form of class action proceeding.

Arbitration Administration and Rules
​
The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules (if you use Archidoodles Websites as a consumer) or Commercial Arbitration Rules (if you are a provider, vendor, seller or other business), as applicable and then in effect (the "AAA Rules"), except as modified by this "Dispute Resolution” section. (The AAA Rules are available at http://www.adr.org).

Arbitration Process
​
A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA's roster of arbitrators with relevant experience. If the parties are unable to agree upon an arbitrator within 7 days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with AAA Rules.

Arbitration Location and Procedure
​
The seat of the arbitration shall be in Houston, Texas, unless you and Archidoodles agree otherwise or the AAA Rules or AAA Consumer Due Process Protocol, as applicable, require otherwise. If your claim does not exceed USD$10,000.00, then the arbitration will be conducted solely on the basis of documents you and Archidoodles submit to the arbitrator, unless you request a hearing and the arbitrator then determines that a hearing is necessary. If your claim exceeds USD$10,000.00, your right to a hearing will be determined by AAA Rules. Subject to AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration. Hearings may be conducted by telephone or video conference, if requested and agreed to by the parties.

Arbitrator's Decision and Governing Law
​
The arbitrator shall apply Texas law consistent with the Federal Arbitration Act and applicable statutes of limitations and shall honor claims of privilege recognized by law. The arbitrator will render an award within the timeframe specified in the AAA Rules. Judgment on the arbitration may be entered in any court having jurisdiction thereof. The arbitrator may award declaratory or injunctive relief in favor of the claimant only to the extent necessary to provide relief warranted by the claimant's individual claim.

Fees
​
Each party's responsibility to pay the arbitration filing, administrative and arbitrator fees will depend on the circumstances of the arbitration and are set forth in the AAA Rules.

Monitoring and Enforcement of Website
​
Company will reserve the right to take appropriate legal action, including without limitation, referring law enforcement, for any illegal or unauthorized use of the Website. Company will reserve the right to terminate or suspend your access to all or part of the Website for a violation of these Terms and Conditions including the content standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or the creation of liability for the Company.
Updates to these Terms and Conditions
The Company may revise these Terms and Conditions from time to time at the Company’s sole discretion. All changes are effective immediately when the Company posts them and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. Company reserves the right to withdraw or amend this Website, and any service or material Company provides on the Website, in the Company’s sole discretion without notice.

Provider Provisions
If you decide to access any of the third-party websites linked to this Website, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.
The following terms are in addition to the General Terms of Use and apply only to Provider’s on the Website. With respect to Providers, these terms should therefore be read together with the General Terms where possible and in the event of conflict between these terms and the General Terms, with respect to Providers these terms shall prevail.
The Company will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, the Company may restrict access to some parts of the Website, or the entire Website.
Providers can join Archidoodles and create an Archidoodles Provider Profile to promote their business using the features of Archidoodles to publish Content in the form of images, photographs, descriptions, videos, periodicals, educational publications, promotional documents, contact profiles, and other similar materials subject to these Terms and Conditions.
Provider Profile
Providers can subscribe to services offered by Archidoodles. Providers listed on Archidoodles are expected to conduct business in accordance with all applicable laws and regulations.
By creating a Provider Profile, or claiming an existing, unclaimed Provider Profile, you acknowledge and agree to each of the following:

Authority
​
You are a principal or employee authorized to create a Provider Profile for the business. You are responsible for all activity on your account, including any activities generated from allowing access to your account by sharing account credentials, not keeping account credentials confidential, or not keeping account credentials current.
Accurate Information
​

The information you provide for the Provider Profile will be complete and factual.

You will use your best efforts to maintain up to date and current information.

You will select Trade Categories and Trade Specialties that accurately describe the direct services and products that you provide.

Provider Profiles must be associated with approved Trade Categories and Trade Specialties provided by Archidoodles. Archidoodles will consider adding both Trade Categories and Trade Specialties as requested if they conform to our business criteria.

Provider Profiles can be removed by Archidoodles if the Provider is in default of any stated Policy of Archidoodles.
Provider Licenses

If your Trade Category or Trade Specialty requires licenses to operate, you agree to provide all relevant license information necessary to list or promote your business on Archidoodles and represent that all licenses are current and up to date.
Provider Projects
​
You agree that any Projects posted on Archidoodles represent work that your business participated in, and you will not claim credit for the work of others.
Affiliations
Archidoodles allows a Provider to affiliate their business with other Providers who are Suppliers, Distributors, company offices, or have other direct affiliations with the Provider. You represent that any Provider who is affiliated with your Provider Profiles maintains a legal contractual relationship with you.
Personal Data

You shall protect the confidentiality of User Data and use appropriate security safeguards to protect User Data against unauthorized or unlawful processing or use of User Data and against accidental loss, destruction, alteration, disclosure of, or access to User Data. Without limiting the foregoing, you shall not sell User Data, whether for money or other valuable consideration. You will ensure that your use of User Data, including communications with Archidoodles users and Members by email, phone, text, or otherwise, is at all times compliant with all applicable laws. You must comply with requests by individuals exercising their rights under applicable law, including requests to cease efforts to communicate. You understand and agree that you are the sender of, and responsible for, any of your communications through the websites, and Archidoodles is not the sender. The websites are not intended for transmitting payment card information or other sensitive information, except where expressly prompted by website payment features; however, Archidoodles has no obligation to monitor or restrict such information from being transmitted through the websites. If you receive any privacy inquiry or complaint from an individual, regulator or other party related to the use of User Data, you will promptly inform Archidoodles of such inquiry or complaint in writing and will cooperate reasonably and in good faith to respond to such inquiry or complaint. Archidoodles limits the access to the information associated with your business on the Archidoodles websites on a need-to-know basis for the uses identified in the Archidoodles Privacy Policy.
Provider Content
​
To enable Archidoodles to display your Professional Profile and otherwise provide exposure for the products and services you offer, the Company needs you to provide us with content and materials about your business ("Provider Content"). You retain all ownership of your Provider Content that you provide to Archidoodles and you grant Archidoodles a license to use that Provider Content as set out in the Archidoodles Terms of Use so that Archidoodles can display your Professional Profile and promote Archidoodles or your work. The Company needs you to grant Archidoodles that license and certain other rights detailed in the Archidoodles Terms of Use so that technical actions that are taken in operating Archidoodles are not considered legal violations. For example, copyright laws could prevent us from processing, maintaining, storing, backing-up and distributing certain content, unless you give the Company these rights. The Company also uses service providers, such as web hosting services, who need to receive the content in order to operate the Archidoodles websites. In order to maintain a consistent experience for Members who may view editorial articles from Archidoodles that feature your photos or who may have saved photos that are part of your Provider Content to their Galleries your photos and public content remain on Archidoodles websites after account closure.
Provider Ownership

The Company acknowledges and agree that you, or your licensors, as applicable, retain ownership of any and all copyrights in Your Content, subject to the non-exclusive rights granted to the Company and that no ownership of such copyrights is transferred to Archidoodles under the Terms of this agreement. Further, with respect to Your Content in the form of photos and images, and subject to user experience considerations: (a) The Company will use commercially reasonable efforts to maintain the attribution of such photos as submitted by you, and (b) the Company will not license or sublicense to third parties’ individual photos or images or collections of photos or images, except in each case for Archidoodles business purposes. "Archidoodles Business Purposes" means any use in connection with an Archidoodles branded or co-branded website, application, publication or service, or any use which advertises, or promotes Archidoodles or its affiliates. Archidoodles specifically includes the use of Your Content on Archidoodles in connection with features and functions offered by Archidoodles to Members that enable them to view and interact with Your Content.
License and Permission to Use Your Content
